Reported July 30, 2026

30-second summary

Q2 revenue grew 9% YoY to $7.67B and GAAP diluted EPS came in at $1.05, with segment AOI totalling $817M (+2% YoY) on 49M fans and 90M fee-bearing tickets (+8% YoY). The FY2026 double-digit AOI framework is reaffirmed and Sponsorship keeps running hot (+12% revenue, $257M AOI, +13% YoY), but three FY2026 guide changes matter more than the headline: capex narrowed to $1.1B (from $1.1–1.2B), fan attendance narrowed to 10% (from high-single digits), and the Ticketmaster mid-single-digit AOI guide dropped the explicit mid-single-digit negative scalper-headwind quantification — though the scalper/bot reduction effort itself is still disclosed in the Ticketmaster narrative. The reaffirmed "double-digit AOI" line now depends on a Q4-loaded Concerts second half, which management explicitly flagged.

Management tone

The press release CEO letter and segment narratives carry the signal in lieu of a transcript. Rapino frames the print around "milestones" — record 49M Q2 fans, Ticketmaster AOI +14%, all-time-high deferred revenue — and pre-emptively flags that "the first-quarter legal accrual will weigh on reported operating income," while reasserting "double-digit adjusted operating income growth this year — and to compound at that level for years to come." The Concerts narrative explicitly attributes the -14% AOI to timing of stadium shows, pre-opening costs, and new international festivals rather than demand — consistent with the reaffirmed FY guide and the explicit Q4-loading of Concerts improvement. The Ticketmaster narrative retains the scalper/bot reduction reference but no longer repeats the mid-single-digit negative AOI-impact quantification. Directionally, management is preserving the double-digit AOI headline by simplifying the qualifiers around it.

Answers to last quarter's watch list

Q2 FY2026 Concerts AOI margin vs prior-year first-half rate. Q2 Concerts margin came in at 4.8% ($310M on $6.44B), against 6.0% in Q2 FY2025 — ~123bps YoY compression, AOI down 14%. Combined with Q1 near-breakeven segment AOI, H1 Concerts AOI is down 14% YoY ($312M vs $365M) and management has explicitly said the "majority of the year-over-year improvement" now occurs in Q4. The premium-mix lever the Q1 brief flagged is not visible in the H1 print.
Resolved negatively
Effective YoY growth math after the D&A and noncontrolling interest raises. Q2 GAAP diluted EPS of $1.05 (vs $0.41 in Q2 FY2025) shows the below-the-line ratchets have not — this quarter — meaningfully compressed reported earnings. On noncontrolling interest, management this quarter provided an absolute figure (~$325M for the full year) alongside the framing that growth will follow the timing of AOI growth — additive disclosure rather than a swap. Watch whether the absolute lands consistent with the prior +25% growth path.
Continue monitoring
Ticketmaster fee-bearing ticket volume trajectory vs the mid-single-digit FY guide. 90M in Q2 (+8% YoY) is running ahead of the mid-single-digit FY volume guide, with concerts tickets sold specifically up 11%. Combined with the removal of the explicit AOI-impact quantification for scalper reduction, the segment is over-delivering on volume and AOI (+14% YoY).
Resolved positively
Sponsorship AOI growth pace. Q2 AOI +13% YoY and revenue +12% — H1 running clearly above the double-digit FY floor for a second consecutive quarter, with 95% of FY commitments already booked.
Resolved positively
DOJ proceedings (Thursday court date, FTC settlement path). The press release contains no material update on the DOJ trial or FTC settlement path.
Continue monitoring
Event-related deferred revenue trajectory. $6.4B at end-Q2, +25% YoY — management characterises this as an all-time high pointing to accelerating stadium and amphitheater activity in H2.
Resolved positively

What to watch into next quarter

Q3 FY2026 Concerts AOI margin. With the majority of FY Concerts AOI improvement now explicitly reserved for Q4, Q3 margin trajectory becomes the tell for whether the FY double-digit AOI guide is achievable without a single-quarter Q4 print carrying the year.

Whether the Ticketmaster AOI framing re-introduces an explicit scalper-headwind quantification. The removal of the mid-single-digit negative AOI-impact quantification is a real framing shift, even with the underlying scalper/bot reduction effort still disclosed in the segment narrative. If FY Ticketmaster AOI lands above mid-single digits, the drop was because the headwind is smaller than modeled; if in-line with no re-quantification, management traded specificity for the same guide.

FY2026 Sponsorship AOI actual vs the double-digit floor. With H1 running clearly above the floor and 95% of commitments booked, watch whether Q3 sustains the low-teens YoY pace or whether the FY guide implies H2 deceleration.

Noncontrolling interest expense trajectory vs the ~$325M absolute. If FY actual implies >25% growth, the absolute-dollar framing was cover; if in-line or below, it was housekeeping.

DOJ trial status and any FTC procedural signal. The largest binary on the name has now been procedurally active for three consecutive quarters with no material update on the earnings print. The multiple can't re-rate until this resolves.

Q3 FY2026 fee-bearing ticket volume. 90M Q2 at +8% YoY versus a mid-single-digit FY guide is running hot; Q3 sustaining high-single-digit or better volume growth would force a FY guide revision or confirm management is deliberately setting the bar low.
