Reported July 28, 2026

30-second summary

Q2 revenue grew 3% YoY to $3.83B with non-GAAP EPS of $1.62 beating consensus by 4.5%, and management reaffirmed the full FY2026 framework — but the print carries two material new disclosures. First, Textron initiated a sale process for the Industrial segment, narrowing the Q1 "sale or tax-free spin" optionality to a sale. Second, a new contingent disclosure quantifies that FY2026 adjusted EPS could be cut by $0.20–$0.30 and cash flow by $150–$250M absent additional MV-75 Cheyenne program funding — 3–5% of EPS midpoint and up to 36% of manufacturing cash flow at risk.

Guidance is issued for the full year only, refreshed each quarter. Prior and new below are the same FY updated this quarter.

Management tone

Narrative arc: Cash guide raise as confidence → Bell profit erosion + eAviation retreat → FY25 lands on plan + MV-75 acceleration → Industrial spin option announced → MV-75 funding risk quantified + Industrial path narrowed to sale.

MV-75 has traveled from "acceleration story" to "quantified downside risk" in two quarters. One quarter ago the Cheyenne narrative was the Army's 25-year production run and the FY2027 FYDP calling for $2.3B scaling to $3.8B by FY2031 — the most concrete forward-revenue visibility Bell had carried in years. This quarter management disclosed that absent additional FY2026 funding, adjusted EPS is exposed by $0.20–$0.30 and cash flow by $150–$250M. The shift from "multi-decade Army commitment" framing to "dependent on receipt of additional FY2026 funding" is the tone change of the quarter — from program pull-forward confidence to appropriations dependency.

The reaffirmed guidance is doing more work than it appears. Two quarters ago Rosenberg framed the FY2026 cash guide as investment-driven and structurally credible; one quarter ago Atherton reaffirmed against a Q1 that was a $228M cash use; this quarter management reaffirmed both EPS and cash while simultaneously disclosing that the reaffirmation is conditional on funding receipt. Reaffirming a range you have just told investors is contingent is a hedge — the numeric guide is unchanged but its confidence interval has widened materially.

Industrial path narrowed from optionality to sale. One quarter ago the separation was framed as "multiple paths … including but not limited to a sale of the Industrial businesses or a tax-free separation." This quarter's press release headline bullet reads "Initiated sale process for the Industrial Segment" — the optionality has collapsed to a sale process. This is the most concrete structural update on the separation since the announcement and materially changes the analytical frame: no tax-free spin scenario, no standalone-pubco stranded-cost model, but instead a sale-price and tax-leakage question.

Aviation growth deceleration bears watching. Q1 revenue +22% YoY on strike-comp catch-up; Q2 revenue +1.4% YoY. Management's Q1 framing had Aviation building sequentially to a Q4 margin peak — the deceleration itself may be normal post-catch-up cadence, but combined with backlog flat at $8.0B (unchanged from Q1) and margin still at 10.7%, the two-quarter trajectory is different from the reacceleration narrative that opened FY2026.

Answers to last quarter's watch list

Industrial separation structural decision — resolved this quarter. The press release headline bullet states Textron "Initiated sale process for the Industrial Segment," narrowing the Q1 "sale or tax-free spin" optionality to a sale process. Banker engagement detail and stranded-cost quantification remain undisclosed, but the path decision itself has been made. Status: Resolved — sale process initiated
MV-75 LRIP CLIN exercise timing — the CLIN exercise itself was not addressed on this press release, but the newly disclosed Cheyenne funding contingency is a different and larger risk: adjusted EPS exposure of $0.20–$0.30 and cash flow exposure of $150–$250M absent additional FY2026 funding receipt via an Above Threshold Reprogramming request. This is a program-funding risk, distinct from the LRIP cumulative catch-up, and it is now formally in the guidance framework.
Resolved negatively
Aviation segment margin progression toward 11–12% FY range — Q2 Aviation profit of $165M on $1,544M revenue is a 10.7% margin, the second consecutive quarter below the FY range, with profit dollars down $5M (-3%) YoY. Revenue decelerated to +1.4% YoY from +22% in Q1. Management attributed the profit decline to manufacturing inefficiencies and unfavorable volume/mix, partially offset by lower warranty. The Q4-peak framing requires Q3 to clear 11%; two consecutive sub-11% quarters raise the bar on H2. Status: Resolved negatively for the quarter; continue monitoring Q3
Bell segment profit YoY direction — the "declining profit on rising revenue" pattern from Q1 is confirmed. Bell Q2 profit of $75M was down $5M (-6%) YoY on +5.7% revenue, a 7.0% margin, driven by program performance and military program mix, partially offset by lower R&D. Backlog declined sequentially to $7.5B from $7.6B, the first sequential decline in the recent series.
Resolved negatively
Manufacturing operating cash flow ramp — Q2 manufacturing CF before pension was $154M, following Q1's use of $228M — YTD roughly -$74M. Landing the $700M–$800M FY guide requires ~$774M–$874M in H2, a Q3/Q4 average of ~$400M each. The Q2 print is a directional improvement from Q1 but leaves the ramp steep and now compounded by the Cheyenne funding contingency.

What to watch into next quarter

MV-75 Cheyenne FY2026 funding receipt status — the single most important item on the Q3 print. If the Above Threshold Reprogramming request has not resulted in appropriated funding by the Q3 report, the $0.20–$0.30 EPS and $150–$250M cash contingencies move from disclosure to base-case exposure. Watch for management's language on funding receipt probability and timing.

Aviation segment margin progression — 10.7% in Q2, second consecutive quarter below 11–12% FY range; profit dollars down YoY. Watch whether Q3 segment margin clears 11% as the sequential-build framing requires; a third quarter below 11% would break the Q4-peak thesis.

Industrial sale process milestones — with the path now narrowed to a sale, watch for banker engagement disclosure, buyer-pool commentary (strategic vs. financial), Kautex vs. Specialized Vehicles bundling/split decisions, and any preliminary valuation-range framing.

Manufacturing CF H2 conversion — YTD -$74M against $700M–$800M FY guide implies $400M+ per quarter in H2. Q3 cash generation is the primary read on full-year guide credibility even before the Cheyenne contingency is applied.

Bell backlog and profit stabilization — first sequential backlog decline this cycle (-$100M) to $7.5B, with profit down 6% YoY on +6% revenue. Watch whether Q3 book-to-bill re-inverts and whether program-performance headwinds persist.
